“Blindarse” a nivel legal es uno de los pasos más importantes para evitar una crisis
Redacción. El inicio de un nuevo año significa para muchas personas el banderazo de inicio para aquel emprendimiento, proyecto o empresa que estuvo en idea por mucho tiempo, pero que ya le llegó el momento de concretarse.
Sin embargo, como estamos en un mundo muy competitivo y de acciones agresivas por parte de otros jugadores del mercado, el exitoso empresario internacional José Del Valle recomienda hacer una pausa antes de dar el gran salto a la independiencia laboral y valorar una serie de recomendaciones que podrían significar entre tocar la gloria de los negocios o, por el contrario, vivir un infierno hasta con consecuencias legales.
“El emprendedor tiene que plantearse los recursos con los que cuenta y, muy importante, desarrollar su proyecto con el apoyo de profesionistas calificados y de confianza; toda gran idea debe ser revisada y posiblemente mejorada con el asesoramiento correcto”, comenta Del Valle.
Adicionalmente, el empresario añade que para concretar un anhelo empresarial debe visualizarse claramente qué tiene en mente, determinar si es realizable y apoyarse en un estudio para confirmar si se está en la capacidad para financiar el proyecto.
“Esto lo podríamos resumir así: el plan de negocios es vital previo al inicio de cualquier operación. Este le permitirá al emprendedor planificar, organizar y llevar un registro para ir valorando aciertos, fallos y riesgos. Entre más amplio y claro tengamos el escenario de lo que queremos, será mucho mejor”, explicó Del Valle.
“También vale la pena preguntarse si el proyecto puede tener impacto más allá de lo esperado; como por ejemplo a nivel social, de emprendimiento e, incluso, científico”, añadió Del Valle.
Este plan de negocios -añade el empresario- será la herramienta que permita buscar el financiamiento necesario para echar a correr el negocio.
“Dichosamente, los tiempos han cambiado y, ahora, es más sencillo encontrar alternativas para financiar un emprendimiento.
Actualmente, hay fondos de inversión especialmente diseñados para emprendedores y, también, muchos países de Latinoamérica tienen instituciones especializadas.
Adicionalmente, están los ángeles inversionistas que pasan monitoreando y valorando proyectos e, incluso, no podemos descartar las redes de financiación colectiva que se pueden aprovechar en Internet”, agregó Del Valle.
BLINDAJE LEGAL: EL GRAN FALTANTE DE LOS EMPRENDEDORES
El empresario explica que uno de los principales cuidados que debe tener el emprendedor es su “blindaje legal”, mismo que puede evitarle riesgos y problemas futuros en los tribunales y que, por experiencia propia, está muy descuidado en Latinoamérica, especialmente en los rubros de propiedad intelectual.
Precisamente, debido a una mala experiencia que aún sigue en tribunales, es que Del Valle se propuso compartir su situación con el fin de que colegas suyos (especiamente de Latinoamérica) no pasen lo mismo que él.
En el año 2008, este emprendedor mexicano desarrolló una bebida cuyo ingrediente principal es el ácido gamma-aminobutírico (mejor conocido com GABA) al que se le atribuye mejoramiento del desempeño y la concentración (enfoque) mental.
GO GABA, como Del Valle llamó a su producto, fue comercializado inicialmente en México y los Países Bajos con una primera versión de la bebida en 2012, lo que le permitió realizar investigaciones de mercado.
La producción se detuvo en 2016 al haber obtenido financiamiento para trabajar en la renovación del producto y la marca. De esta forma, GO GABA entró en un acuerdo con la Banca de Inversión del Grupo Financiero BBVA para levantar un capital de 28 millones de dólares con el fin de lanzar la renovada versión del producto en 50 países a lo largo de un periodo de 5 años.
Al final de ese mismo año, BBVA planteó a Del Valle la posibilidad de entrar en un acuerdo con Coca-Cola Company, como una prometedora alternativa para alcanzar el éxito.
LO INESPERADO
Según Del Valle, el acuerdo entre GO GABA y Coca-Cola Company se firmó en diciembre de 2017, después de 6 meses de negociaciones, reuniones y presentaciones con los más altos funcionarios de la empresa en México, provenientes de diferentes países y con amplias trayectorias en la compañía.
Dicho acuerdo establecía, de acuerdo con Del Valle, que Coca-Cola y sus entidades relacionadas no podrían competir (directa o indirectamente) con GO GABA, a través de bebidas cuyo concepto fuera igual o sustancialmente igual al de GO GABA, ni participar en proyectos de bebidas cuyo ingrediente principal fuera GABA o que ayudaran a mejorar el desempeño y la concentración mental.
El periodo de no competencia se por parte de Coca-Cola se estableció durante al menos 30 meses posteriores a que terminara el periodo de exclusividad entre las partes, sostiene el emprendedor.
“A tan solo cinco meses de la firma del acuerdo, recibí un informe de mis colaboradores, asegurándome que Coca-Cola había lanzado un nuevo producto en Japón a nivel nacional, con el nombre de Fanta Gaba, lo que significó una clara violación al acuerdo firmado por ambas partes. Poco tiempo después de que notificamos a Coca-Cola, el producto dejó de comercializarse en los puntos de venta y aparecía como “sold out”, recuerda Del Valle. A la fecha, no se encuentra registro alguno en las páginas web de Coca-Cola.
EL DAÑO
En noviembre de 2018 -narra el empresario- como parte del proceso judicial iniciado por él y su empresa Yaso, donde ya existe una dictaminación de las autoridades por perjuicios que ascienden a los 345 millones de dólares (USD), la Procuraduría General de Justicia de la Ciudad de México (PGJCDMX) emitió citatorios a ejecutivos de Coca-Cola en México, y Coca-Cola en Brasil, para ofrecer sus testimonio; algunos en calidad de testigos y otros como involucrados, como es el caso de Luiz Henrique Resende de Almeida, Vicepresidente de Finanzas de Coca-Cola en México, y Juan Francisco Martorelli Hernández, Representante Legal.
De acuerdo con Del Valle, es así que al día de hoy, los tres Vicepresidentes citados en calidad de testigos que fungían en México durante el acuerdo con GO GABA (Selman Carega/Vicepresidente de Mercadotecnia; Marcelo Gil/Vicepresidente de Operaciones y Luis Galguera/Vicepresidente Técnico), y que posteriormente fueron transferidos a Brasil en las mismas posiciones de trabajo, a la fecha no se han presentado a declarar.
Por otra parte, de los cuatro involucrados, los dos que fueron transferidos fuera de México, aún no los ha citado a declarar: Jorge Fernández Gonzalez-Galatea, Director de Finanzas de Coca-Cola en México, posteriormente transferido a Costa Rica como Director Financiero de Centroamérica y Caribe; y Manuel Arroyo Prieto, Presidente de Coca-Cola en México, posteriormente transferido como Presidente de Coca-Cola a la región Asia-Pacífico, según información revelada por Del Valle.
EL EMPRENDIMIENTO NO DEBE DETENERSE
